Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Bilo Tech Ltd, a company incorporated in Ghana under the Companies Act, 2019 (Act 992) and registered with the Office of the Registrar of Companies ("Bilo Tech", "TurnUp", "we", "us", or "our"). They govern your access to and use of the TurnUp booking platform, including our website at turnup.show, our booking pages, our marketplace, and any related applications, APIs, or services we operate (together, the "Service").

TurnUp is used by three kinds of people: business owners who list and manage bookable services, clients who discover and book those services, and, internally, administrators who operate the platform on our behalf. These Terms apply to all of them unless a section says otherwise.

1. Acceptance of these Terms

By creating an account, completing a booking, browsing a business's TurnUp booking page, or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy, Acceptable Use Policy, and Deposit, Cancellation & Refund Policy, each of which is incorporated into these Terms by reference. If you do not agree, you must not use the Service. If you are using the Service on behalf of a business or other organization, you represent that you have authority to bind that organization, and "you" refers to both you and that organization.

2. Definitions

  • "Business User" means a person or organization that creates a business account on TurnUp to list and manage bookable Services.
  • "Client" means a person who books, or attempts to book, a service through TurnUp, whether or not they create an account.
  • "Booking" means a reservation made by a Client for a service offered by a Business User, including individual appointments and seats in a group session (a "class" or "seminar").
  • "Deposit" means any amount a Business User requires a Client to pay, or commit to pay, at the time of Booking to secure that Booking.
  • "Content" means any information, text, images, or other material submitted to the Service by a Business User or Client, including service listings, business profiles, and messages.
  • "Platform Fee" means any fee we charge for use of the Service, including subscription fees and fees deducted from processed payments, as described in Section 7.

3. Eligibility & Accounts

3.1 Age & capacity

You must be at least 18 years old, or the age of legal majority in your jurisdiction if higher, and have the legal capacity to enter into a binding contract, to create an account or make a Booking that requires payment. The Service is not directed at children, and we do not knowingly allow anyone under 18 to open a Business User or Client account.

3.2 Account types

Business Users register with an email address and password, which we ask you to verify before your account is active. Clients may book as a guest by providing a name and phone number, or create an account using phone-number verification (a one-time code sent by SMS). Administrators are Bilo Tech personnel or contractors and are governed by internal policy in addition to these Terms.

3.3 Account security

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at support@turnup.show if you suspect unauthorized access. We are not liable for losses arising from unauthorized use of your account that results from your failure to safeguard your credentials.

3.4 Accuracy of information

You agree to provide accurate, current, and complete information when creating an account or making a Booking, and to keep it up to date. Business Users are solely responsible for the accuracy of their business profile, service listings, pricing, availability, and deposit configuration.

4. Description of the Service

TurnUp is a booking and no-show-protection platform. It lets Business Users publish a booking page, configure services (including one-to-one appointments and capacity-limited group sessions), collect Deposits, and send automated booking confirmations and reminders by SMS, WhatsApp, and email. It lets Clients discover Business Users (directly, via a shared link, or through our marketplace), book available times or sessions, and pay any required Deposit. We may add, change, or remove features at any time, and the Service may not be available in every country or in every language.

TurnUp is a technology platform that connects Business Users and Clients. We are not a party to the underlying service arrangement (e.g., a haircut, a class, a consultation) between a Business User and a Client, and we do not control, and are not responsible for, the quality, safety, legality, or delivery of the services Business Users offer.

5. Terms for Business Users

5.1 Your listings

You are solely responsible for the accuracy, legality, and content of your business profile and service listings, including names, descriptions, durations, prices, currency, and any capacity limits for group sessions. You must have any license, permit, insurance, or qualification required by law to provide the services you list, and you must comply with all applicable consumer-protection, health-and-safety, and industry-specific regulations in the jurisdiction(s) where you operate.

5.2 Plans

We offer a free plan with a limited number of services and class capacity, and a paid "Business" plan that unlocks Deposit collection, marketplace listing, and higher limits, for the subscription fee displayed in your dashboard at the time of purchase. Plan features and pricing may change; we will give you reasonable notice of material changes affecting a plan you are subscribed to.

5.3 Payouts

If you enable Deposit collection, funds are processed and, where applicable, paid out to you through our third-party payment processors (currently Stripe and/or Paystack, depending on your country — see Section 13). You must complete any identity-verification ("KYC") steps those processors require. We do not custody your funds directly; payout timing and any holds are subject to the processor's own terms and risk assessments, which we do not control.

5.4 Communications to your clients

When you use TurnUp to message Clients (confirmations, reminders, reschedule links, or monthly summaries), you agree those messages will be transactional and related to an actual Booking — not marketing, and not sent to anyone who has not booked or interacted with your business through the Service — consistent with our Acceptable Use Policy and the messaging providers' own policies (see Section 13).

6. Terms for Clients

When you make a Booking, you enter into a direct arrangement with the Business User for the service itself. TurnUp facilitates the Booking and, where applicable, the Deposit, but the Business User is responsible for delivering the service. By booking, you agree to:

  • provide accurate contact details so the Business User and TurnUp can reach you about your Booking;
  • pay any Deposit required at the time of Booking, using the payment method offered;
  • arrive for, cancel, or reschedule your Booking in line with the Business User's stated policy and our Deposit, Cancellation & Refund Policy; and
  • treat Business Users, their staff, and other Clients respectfully.

7. Fees & Payments

Business Users may be charged a subscription fee for a paid plan and/or a Platform Fee deducted from processed Deposits, as disclosed in your dashboard or at checkout before you confirm a charge. All fees are quoted in the currency shown and are exclusive of any taxes, duties, or bank charges unless stated otherwise; you are responsible for any such amounts. Payment processing itself is performed by our third-party processors, who may charge their own transaction fees as part of, or in addition to, the amounts described above.

8. Deposits, Cancellations & No-Shows

Deposit amounts, cancellation windows, and no-show consequences are configured by each Business User and may vary between businesses. Full details of how Deposits are collected, held, forfeited, and refunded are set out in our Deposit, Cancellation & Refund Policy, which forms part of these Terms. By making or accepting a Deposit-backed Booking, you agree to that policy.

9. Communications Consent

By providing a phone number or email address when creating an account or making a Booking, you consent to receive transactional communications from TurnUp and/or the relevant Business User by SMS, WhatsApp, and/or email, including booking confirmations, reminders, reschedule links, and deposit-related notices. Message and data rates may apply. You can ask a Business User to stop contacting you about a specific Booking, and you can opt out of non-essential communications at any time by following the instructions in the message or by contacting support@turnup.show; we may still send communications strictly necessary to service an active Booking (for example, a same-day reminder) even after an opt-out, unless you cancel the Booking.

10. Marketplace Listings & Verification

We may display a "verified" badge on a Business User's profile after an internal review process. Verification indicates only that the business completed our review at a point in time; it is not a guarantee, warranty, or endorsement of the quality, safety, or legality of the services offered, and we may revoke it at any time without notice if circumstances change.

11. Prohibited Conduct

You must not use the Service for any purpose or in any way described as prohibited in our Acceptable Use Policy, which is incorporated into these Terms. We may investigate suspected violations and take any action described in Section 17.

12. Intellectual Property

12.1 Our IP

The Service, including its software, design, text, graphics, logos, and the "TurnUp" name and mark, is owned by Bilo Tech Ltd or our licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose. You may not copy, modify, distribute, sell, lease, reverse-engineer, or create derivative works from any part of the Service except as expressly permitted by law or by us in writing.

12.2 Your Content

You retain ownership of Content you submit. By submitting Content, you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and distribute it as reasonably necessary to operate, promote, and improve the Service (for example, displaying your service listing on a Client's booking page or in marketplace search results). You represent that you have the rights necessary to grant this license and that your Content does not infringe any third party's rights.

13. Third-Party Services

The Service relies on third-party providers to function, including payment processing (Stripe, Paystack), SMS and WhatsApp messaging (Twilio, and WhatsApp/Meta as the underlying channel), transactional email (Twilio SendGrid), infrastructure and authentication (Supabase), push notifications (your device's and browser's push services), and location/mapping features (Google Maps). Your use of features backed by these providers may also be subject to their own terms. We are not responsible for outages, errors, or policy changes by these providers that affect the Service, though we will make reasonable efforts to keep the Service working around them.

14. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT MESSAGES WILL BE DELIVERED, OR THAT ANY BUSINESS USER WILL HONOR A BOOKING OR DEPOSIT REFUND.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BILO TECH LTD AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATING TO YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE PLATFORM FEES YOU PAID US IN THE 6 MONTHS BEFORE THE CLAIM AROSE, OR (B) 500 GHANA CEDIS (GHS 500). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU, IN WHICH CASE OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

16. Indemnification

You agree to defend, indemnify, and hold harmless Bilo Tech Ltd and its officers, employees, and agents from any claim, liability, damage, loss, or expense (including reasonable legal fees) arising out of or relating to your use of the Service, your Content, your violation of these Terms, or your violation of any law or third party's rights, including disputes between a Business User and a Client arising from a Booking.

17. Suspension & Termination

You may stop using the Service, or ask us to close your account, at any time by contacting support@turnup.show. We may suspend or terminate your access to all or part of the Service, with or without notice, if we reasonably believe you have violated these Terms, our Acceptable Use Policy, or applicable law, or if we discontinue the Service. Sections that by their nature should survive termination (including Sections 12, 14, 15, 16, and 18) will survive.

18. Governing Law & Disputes

These Terms are governed by the laws of the Republic of Ghana, without regard to conflict-of-law principles. You agree that any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts of Ghana, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information. If you are a consumer resident in the European Union, the United Kingdom, or another jurisdiction whose law grants you non-waivable consumer protections or the right to bring proceedings in your own courts, this section does not remove those rights.

19. International Use

TurnUp is operated from Ghana and used by Business Users and Clients in multiple countries. You are responsible for complying with the laws that apply to you in your own location, including local consumer-protection, tax, licensing, and data-protection laws. We make no representation that the Service is appropriate or available for use in every location, and access from territories where the Service or its content is illegal is prohibited.

20. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will post the updated Terms with a new "Last updated" date and, where required by law or where the change materially reduces your rights, provide additional notice (such as an email or in-app notice). Continued use of the Service after the updated Terms take effect constitutes acceptance of the changes.

21. General Provisions

  1. Entire agreement. These Terms, together with the documents they incorporate by reference, are the entire agreement between you and us regarding the Service, and supersede any prior agreements.
  2. Severability. If any provision is found unenforceable, the remaining provisions remain in full force.
  3. No waiver. Our failure to enforce a right or provision is not a waiver of that right or provision.
  4. Assignment. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
  5. Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control, including outages of third-party providers described in Section 13.
  6. Relationship of the parties. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Bilo Tech Ltd, or between a Business User and TurnUp.
